Brokerage & Listing Terms

Read these terms to understand your rights and responsibilities when listing a data product on Opendatabay

Definitions

The term 'Opendatabay' or 'us' or 'we' refers to the owner of the marketplace whose registered office is 7 Hungate, Beccles, NR349TT, United Kingdom. Our company registration number 15711573, registered in England and Wales.

Data Provider, user, or you: refers to the entity or individual listing a data product on the Opendatabay platform.

Data Product: refers to a specific data product listing, dataset, data bundle, or data collection listed on Opendatabay.

Data Product Listing & Quality

Listing: The Data Provider agrees to list individual data products on Opendatabay according to platform guidelines. Each data product constitutes a separate agreement.

Quality and Accuracy: All data products must be accurate, complete, lawful, and clearly described. Any known limitations or biases must be disclosed.

Licensing: The Data Provider grants Data Consumers the rights specified in the license selected for that particular data product. Opendatabay only facilitates listing and brokering; the license terms are set by the Data Provider.

License Requirement: Each data product must have a clearly defined license. The Data Provider is responsible for selecting the license, choosing from:

  • Commercial or general Opendatabay AI and LLM Training License
  • Other standard data licenses available on the platform
  • Custom License: If none of the above apply, provide a URL or description of your own custom license Datasets without a clear license are not covered under this agreement and may not be listed or brokered.
Brokerage Authority (Data Product-Level)

Brokerage Authorization: By default, the Data Provider authorizes Opendatabay to act as a non-exclusive broker for the specific data product, allowing Opendatabay to offer it to multiple buyers or channels. The Data Provider may elect exclusive brokerage for a data product by providing written confirmation, specifying the scope (channels, geographies, buyer segments) and duration of exclusivity. All exclusivity requests must be agreed in writing by Opendatabay.

Third-Party Marketing: Opendatabay may offer the data product for sale or licensing to third parties, including other marketplaces, AI/LLM providers, or corporate buyers, at the price listed by the Data Provider.

Data Product-Level Agreement: Brokerage authorization is valid only for data products explicitly listed unless a separate agreement is made. Opendatabay cannot broker data products not listed unless authorized by the Data Provider through a separate agreement.

Revocation: The Data Provider may revoke brokerage authorization for a specific data product by delisting it or contacting Opendatabay; revocation does not affect already executed sales or obligations.

Pricing & Delivery

Pricing: The Data Provider sets the price or pricing model for each data product. Opendatabay may review or suggest modifications to ensure market alignment and competitiveness.

Listing Fees and Charges: By listing a data product, the Data Provider acknowledges and agrees to the [Opendatabay Platform Fees & Commission Schedule] (https://www.opendatabay.com/legal/fees), as updated from time to time. This document details all applicable fees, commissions, or charges associated with listing, marketing, and brokering data products, including any percentage of sales, fixed fees, or payment processing costs. The schedule also explains payment terms, payout schedules, minimum payout thresholds, and responsibility for refunds or chargebacks. The Fees & Commission Schedule is incorporated into these Brokerage & Listing Terms by reference and forms part of this agreement.

Delivery Methods: Access to data products must be provided via download, API, email, data room, or other mutually agreed methods. The Data Provider is responsible for the security, availability, and integrity of the data.

Marketing & Promotion

Promotion: Opendatabay may feature, advertise, or promote data products and provider profiles to increase visibility and sales potential for both the marketplace and the data provider.

Usage of Profile Info: Names, profiles, and data product metadata including publicly visible samples (excluding the actual data asset) may be used for marketing without additional consent.

Opt-Out: Data Providers may request exclusion from specific promotional activities; however, all data product listings are publicly visible on the marketplace, so Opendatabay retains final discretion over public accessibility.

Discoverability: Data listings, descriptions, and metadata may be indexed publicly and made accessible via third-party channels, including LLMs and other marketplaces.

No Guarantee: Marketing does not guarantee sales or specific results.

Indemnification & Liability

Mutual Warranties & Indemnities: Each party warrants that it has the legal right and authority to enter into and perform under this Agreement. The Data Provider agrees to indemnify and hold harmless Opendatabay against any third-party claims arising from the data product, including intellectual property infringement, unlawful content, or lack of proper rights. Opendatabay agrees to indemnify and hold harmless the Data Provider against third-party claims arising from Opendatabay’s material misrepresentation, payment processing errors, or security failures within its controlled systems.

Limitation of Liability: Except for liability that cannot be legally limited (including fraud, wilful misconduct, or personal injury), each party’s total aggregate liability under this Agreement shall not exceed the total platform fees or commissions paid by the Data Provider to Opendatabay in the twelve (12) months preceding the event giving rise to the claim.

Termination

Term: Agreement for a data product begins on the listing date and continues as long as it remains listed.

Termination for Convenience: Either party may terminate the listing with 30 days’ notice.

Effects: Upon termination, Opendatabay will cease brokerage for that data product and the provider must ensure delivery of any pending sales.

Governing Law & Updates

This Agreement is governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the courts of London, England.

Opendatabay reserves the right to update these terms at any time; continued use constitutes acceptance.
